About the role
The Temporary Governance Officer – Subsidiary Oversight will support the Company Secretariat directorate in ensuring effective governance across all ZCCM‑IH subsidiaries. Based in Lusaka, the role involves monitoring statutory compliance, implementing governance frameworks, and strengthening reporting and accountability structures for a twelve‑month fixed‑term contract.
Key responsibilities
- Develop and maintain a Group‑wide governance framework that defines process flows from Management to Board Committees and the Main Board.
- Ensure each subsidiary documents escalation protocols, approval thresholds, and routing procedures.
- Review and assess the effectiveness of subsidiary governance frameworks and recommend improvements.
- Coordinate subsidiary board and committee meetings, prepare board packs, circulate materials, and ensure accurate minutes and resolutions.
- Track action items from meetings, ensure they are discussed at Management meetings, and maintain a uniform reporting structure across subsidiaries.
- Monitor compliance with statutory obligations, including filings, returns, and disclosures.
Required profile
- Experience in corporate governance, secretarial services, or regulatory compliance.
- Familiarity with statutory and regulatory requirements applicable to subsidiaries.
- Ability to develop governance frameworks and assess their robustness.
- Strong organisational skills to coordinate board meetings and manage documentation.
- Analytical mindset to review submissions for quality, completeness and consistency.
